PartnerOS AI Terms

These AI Terms (the “AI Terms”) describe how PartnerOS, Inc. (“PartnerOS,” “we,” or “us”) makes its artificial-intelligence functionality available to you, the customer entity that has subscribed to the Services (“you” or “your”). These AI Terms supplement, and form part of, the master subscription agreement, order form, or other written agreement under which you access the PartnerOS platform (the “Master Agreement”). Where capitalized terms appear in these AI Terms without a definition, they have the meaning given to them in the Master Agreement. “Customer Data” and “Services” are likewise used here as defined in the Master Agreement. If any provision of these AI Terms conflicts with the Master Agreement on a topic specifically addressed below, these AI Terms govern the conflict, but only as to the AI functionality.

1. What “PartnerOS AI” Covers

“PartnerOS AI” refers to any feature, capability, or workflow within the Services that is built on or invokes a generative AI, embedding, or reranking model. This includes, without limitation, AI Co-Marketer (also offered as AI Partner Marketing), the AI Co-Pilot, AI-assisted Joint Plans, AI Actions, retrieval and search functionality powered by embeddings, and any other AI-enabled features PartnerOS offers from time to time, regardless of the marketing name under which any such feature is offered. PartnerOS AI is delivered through one or more third-party model and infrastructure providers identified on our subprocessors page at www.partneros.com/subprocessors, which we may update from time to time (each, a “Model Provider”). Because PartnerOS AI is part of the Services, the Master Agreement continues to apply to it in full, except where these AI Terms say otherwise. You enable PartnerOS AI for your workspace by agreeing to these AI Terms, and you may turn it off at any time from workspace administrator settings.

2. Inputs and Outputs Belong to You

When you or your authorized users send prompts, partner records, deal data, joint-plan content, or other material to PartnerOS AI for processing, that material is referred to in these AI Terms as “Input.” What PartnerOS AI returns in response — summaries, suggested actions, generated text, recommendations, embeddings, drafts, and so on — is referred to as “Output.” Both Input and Output are Customer Data under the Master Agreement, and they belong to you. Nothing in these AI Terms gives PartnerOS ownership over them.

3. No Training on Your Data

PartnerOS does not, and will not allow any Model Provider or other third party to, use your Input, your Output, or any other Customer Data to train, fine-tune, retrain, evaluate against, or otherwise improve any generative AI, embedding, or reranking model — ours, the Model Provider’s, or any other party’s. This commitment applies to every PartnerOS customer, on every plan, and is not contingent on any opt-in or opt-out by you. Where a Model Provider’s default behavior would otherwise permit such use, PartnerOS configures its account with that Model Provider to disable training on Customer Data before that Model Provider is used to deliver PartnerOS AI. PartnerOS may use de-identified, aggregated metadata about how features are used (for example, counts of AI Actions, error rates, latency) to operate, secure, and improve the Services consistent with the Master Agreement, but never the substance of your Input or Output.

4. How AI Usage Is Metered: AI Actions

PartnerOS bills AI usage in units called “AI Actions.” An AI Action is a single AI-driven operation — a generation, a summary, a recommendation, an enrichment, an embedding, or a similar discrete task. Your Order Form, together with PartnerOS’s then-current AI Actions documentation, sets out how many AI Actions are included in your subscription and how individual features map to AI Action consumption. Unused AI Actions do not carry into a subsequent billing period unless your Order Form expressly says so. PartnerOS reserves the right to adjust how many AI Actions a particular feature consumes when underlying model pricing or operational cost changes; we will not, however, reduce the total AI Actions allotment you have already prepaid for the then-current term.

5. Model Provider Selection Standard

PartnerOS will only enable a Model Provider to deliver PartnerOS AI where that Model Provider’s contractual data-handling commitments to PartnerOS meet or exceed the following baseline:

  • The Model Provider does not use Input or Output to train, fine-tune, retrain, evaluate against, or otherwise improve any model, whether for that Model Provider, PartnerOS, or any other party.

  • The Model Provider does not log Input or Output for human review in the ordinary course of operations.

  • The Model Provider does not retain Input or Output beyond what is required to return the Output to PartnerOS, except for a limited trust-and-safety window of up to thirty (30) days during which Input and Output may be retained for the purpose of detecting and preventing abuse, fraud, and unlawful use.

  • If, during that trust-and-safety window, Input or Output is confirmed to violate law — the Model Provider may retain that material for the period necessary to satisfy legal reporting obligations and regulatory requirements.

  • The Model Provider may retain limited usage metadata (such as token counts, timestamps, and request identifiers) for billing, security, and compliance purposes, but never the substance of Input or Output.

Where a Model Provider’s default product configuration would not satisfy this baseline, PartnerOS uses available enterprise terms, account configurations, opt-outs, or other mechanisms to bring that Model Provider’s handling of PartnerOS-routed traffic up to the baseline before that Model Provider is enabled to process Customer Data. This selection standard is uniform across all PartnerOS plans, and applies to current and future Model Providers.

6. Privacy, Subprocessors, and Personal Data

To the extent your Customer Data includes Personal Data (as that term is defined in the Master Agreement or any applicable Data Processing Addendum), you instruct PartnerOS, and the subprocessors listed at www.partneros.com/subprocessors, to process that Personal Data in accordance with the Master Agreement and any applicable Data Processing Addendum, solely to deliver PartnerOS AI and the resulting Output to you. The Master Agreement and any applicable Data Processing Addendum continue to govern PartnerOS AI in full.

7. Changes to Model Providers

PartnerOS may add, remove, or change Model Providers from time to time, based on quality, cost, security, and data-handling posture. The current list of Model Providers is maintained at www.partneros.com/subprocessors. When PartnerOS adds a new Model Provider that will process Customer Data, PartnerOS will update the subprocessors page and provide notice in accordance with the Master Agreement and any applicable Data Processing Addendum. PartnerOS will only add a Model Provider that meets the selection standard described in Section 5.

8. Permitted and Prohibited Use

When you use PartnerOS AI, you represent and warrant that your Input, your use of PartnerOS AI, and your use of Output, will comply with: (a) the PartnerOS Acceptable Use Policy at www.partneros.com/aup, as updated from time to time; and (b) the policies of any Model Provider whose functionality you are using, as referenced from our subprocessors page. In addition, you will not use PartnerOS AI to:

  • Infringe the intellectual property, privacy, publicity, or other rights of any person.

  • Generate content that is defamatory, harassing, deceptive, sexually exploitative, or otherwise unlawful.

  • Make consequential decisions about individuals — such as employment, credit, or eligibility decisions — without meaningful human review.

  • Reverse engineer, extract, or attempt to derive any underlying model, weights, prompts, or training data.

  • Build, train, or evaluate any AI model, product, or service that is intended to compete with PartnerOS or with any Model Provider.

  • Circumvent any rate limit, AI Actions allotment, or technical control associated with the Services.

9. Output Should Be Reviewed Before You Rely on It

Generative AI is probabilistic. PartnerOS AI may produce Output that is plausible-sounding but inaccurate, that overlaps with Output produced for another customer, that reflects information no longer current, or that simply gets things wrong. You should treat Output as a draft and not as a verified statement of fact. Where Output will inform a partner decision, customer-facing communication, financial commitment, or anything else with real consequence, a human should review and approve it before it goes out. Reliance on Output without that review is at your own risk.

10. Suspension

PartnerOS may suspend access to PartnerOS AI — in whole or in part — if (a) we reasonably believe your use of it violates these AI Terms, the Acceptable Use Policy, or applicable law; (b) a Model Provider directs us to suspend access to its functionality; or (c) a Model Provider has itself suspended or terminated our access to a service we depend on to deliver PartnerOS AI. We will give you advance notice of a suspension where commercially reasonable to do so. Suspension under this Section 10 is in addition to, not in place of, any rights PartnerOS has under the Master Agreement.

11. Responsible AI

PartnerOS believes that AI is most useful when it amplifies human relationship-building rather than replacing it. Our AI features are designed to help partner managers and other authorized users work faster and think more clearly, not to make consequential decisions on their behalf. Internally, we maintain governance practices that include periodic evaluation and testing of AI features for quality and safety, and we follow applicable laws and regulations governing the development and deployment of AI.

12. Changes to These AI Terms

We may update these AI Terms from time to time. Updates take effect on (a) the next renewal of your subscription, or (b) any other date specified in the Master Agreement, except that updates required by law take effect when the law requires. Until an update applies to you, the version of the AI Terms in force at the start of your then-current term continues to govern your use of PartnerOS AI. We will indicate the effective date of the current version at the top of this document.
